1. Acceptance Of Terms
By Accessing Our Website, Engaging Our Technical Services, Or Signing A Statement Of Work, You Agree To Be Bound By These Terms And Conditions. If You Disagree With Any Part Of These Terms, You May Not Use Our Services.
2. Services Provided
Treelyon Provides Technology Services Including But Not Limited To IT Support, Software Development, Cloud Migration, And Network Administration. The Specific Scope, Deliverables, And Timeline Of The Services Will Be Detailed In A Separate Statement Of Work (SOW) Or Proposal Provided To The Client.
3. Payment Terms
Clients Will Be Invoiced As Outlined In The Accepted SOW.
4. Intellectual Property
All Materials, Including Software, Code, Documentation, And Deliverables Created By Treelyon During The Provision Of Services, Remain The Exclusive Property Of Treelyon Until All Invoices Are Paid In Full. Upon Final Payment, The Client Receives A Non-Exclusive, Non-Transferable License To Use The Deliverables For Their Internal Business Purposes. [1, 2, 3, 4, 5]
5. Confidentiality
Both Parties Agree To Keep All Confidential Information Shared During The Course Of The Project Strictly Confidential. Confidential Information Includes Trade Secrets, Client Data, Technical Specifications, And Business Strategies. This Obligation Survives The Termination Of This Agreement.
6. Limitation Of Liability
To The Maximum Extent Permitted By Applicable Law, Treelyon Shall Not Be Liable For Any Indirect, Incidental, Special, Or Consequential Damages, Including Loss Of Data, Profits, Or Business Interruption. Our Total Liability For Any Claim Arising Out Of Or Relating To Our Services Shall Not Exceed The Total Fees Paid By The Client To Treelyon In The Three (3) Months Preceding The Claim. [1, 2, 3, 4]
7. Termination
Either Party May Terminate This Agreement For Any Reason By Providing 30 Days' Written Notice To The Other Party. Treelyon Reserves The Right To Suspend Or Terminate Services Immediately If The Client Fails To Make Payment When Due Or Breaches Any Provision Of These Terms. [1, 2]
8. Governing Law
These Terms And Conditions Are Governed By And Construed In Accordance With The Laws Of The State Of California, Without Regard To Its Conflict Of Law Provisions. Any Disputes Arising Out Of These Terms Shall Be Subject To The Exclusive Jurisdiction Of The Courts Located In San Francisco.
9. Changes To Terms
